Terms and conditions

Effective Date: November 29, 2025

WHEREAS

These general terms and conditions (“Ts & Cs”) govern the contractual relationship between you (the Client) and NAMCOR LTD (trading as NAMCOR Travels. AZUREA., hereafter "The Agency" or "We/Us"), an independent travel agent operating under the umbrella of Inteletravel (hereafter, the "Host Agency").

PLEASE NOTE: The Agency acts solely as an intermediary (agent) for third-party travel service providers (hereafter, "Suppliers"). Your contract for the provision of travel services (e.g., flights, accommodation, car hire) is directly with the respective Supplier, whose own terms and conditions will apply.

IMPORTANT NOTE ON BESPOKE SERVICES: For high-value, bespoke, or exclusive components (e.g., private jet charter, yacht charters, private museum access, dedicated guides, or chef services), The Agency acts strictly as a Booking Facilitator under the Client’s direct mandate, as evidenced by the Client’s execution of the Payment Authorization Form. These specific services are contracted directly between the Client and the respective Supplier, and are not part of any ATOL-protected package.

NOW, THEREFORE, IT HAS BEEN AGREED AS FOLLOWS:

CLAUSE 1. DEFINITIONS

Terms used in this document, including the preamble, and beginning with a capital letter, shall have the meaning given to them below:

Ancillary Services: Refers to additional products or services (e.g., airport transfers, excursions, spa treatments) that may be booked by The Agency on behalf of the Client with a relevant Supplier.

AZUREA Reward Card: A discretionary, non-monetary gift card or reward issued by The Agency to select, high-paying Clients as part of a loyalty program. It is redeemable for specified goods, services, or experiences with evolving third-party partners (see Clause 5).

Bespoke Services: Refers to non-standard, exclusive, or highly specialised components (including, but not limited to, private aviation, luxury charters, specialist guides, or private dining experiences) sourced and booked by The Agency on the Client's specific instruction and payment authorization.

Booking Confirmation: The email or document issued by The Agency to the Client confirming the requested travel services, including the Supplier's price, dates, and key booking conditions.

Client (or “You”): A natural person who is of age and has full legal capacity to agree to these Ts & Cs, acting for their own personal purposes.

Host Agency: Inteletravel, the parent organization under which The Agency operates as an independent contractor, providing the necessary ATOL/licensing coverage where applicable.

Services: Refers collectively to the individual travel components (e.g., Hotel Accommodation, Flights, Cruises, Transfers, Ancillary Services) booked by The Agency on the Client's behalf with a Supplier.

Specific Supplier Terms: The individual terms and conditions, cancellation policies, liability limitations, and privacy policies imposed by the third-party Supplier providing the actual travel service.

Supplier(s): The third-party entities providing the travel services, including but not limited to airlines, hotels, tour operators, cruise lines, and car rental companies.

The Agency: NAMCOR LTD, trading as NAMCOR Travels. AZUREA.

Total Package Price: The final price of the collective Services, remitted by the Client through The Agency to the respective Supplier(s) and inclusive of the Supplier's price, any applicable taxes, and The Agency’s service or commission fees.

CLAUSE 2. THE AGENCY ROLE AND CONTRACTUAL RELATIONSHIP

2.1 The Agency as an Intermediary

The Agency acts strictly as an agent and intermediary. When you make a booking, The Agency sources and arranges travel services between you and the relevant Supplier(s). We do not own, operate, or control the Suppliers or the services they provide.

2.2 Formation of Contract

  • Contract for Services: Your contract for the provision of Services (e.g., the flight itself, the hotel stay) is established directly between you and the Supplier upon the Supplier’s confirmation.

  • Contract with The Agency: Your contract with The Agency is for the provision of sourcing, booking, advisory, and support services. This contract is governed by these Ts & Cs.

2.3 Contractual Hierarchy

This Contract, comprising these Ts & Cs and the Booking Confirmation, shall prevail over any other document related to The Agency’s services. However, in all matters relating to the performance of the Services, the Specific Supplier Terms shall prevail.

2.4 BESPOKE SERVICE AVAILABILITY AND NON-GUARANTEE

  • 2.4.1 Non-Comprehensive List: Any packages, itineraries, or experiences advertised or displayed on The Agency’s website, in brochures, or in sample proposals (including the "AZUREA Selection") are illustrative examples of past or potential journeys and are not a guarantee of availability.

  • 2.4.2 No Obligation to Fulfill: The Agency is under no contractual obligation to secure or fulfill any specific advertised service, package, or experience. The actual availability of any Bespoke Service (including prices, dates, and suppliers) is subject to change without notice and must be confirmed via a formal Proposal issued by The Agency.

  • 2.4.3 Right of Withdrawal: The Agency reserves the right to withdraw any advertised Bespoke Service or package, or to propose a suitable alternative, at any time before the Final Booking Confirmation is issued.

CLAUSE 3. BOOKING, PAYMENTS, AND CANCELLATIONS

3.1 Booking Process and Acceptance

By requesting a booking and making a payment, you confirm that you have read, understood, and accepted these Ts & Cs, the Privacy Policy, and the key conditions and limitations of the relevant Supplier(s). You are solely responsible for ensuring the Services are suitable for your needs.

3.2 Prices and Payment

The price of the Services is determined by the Supplier at the time of booking. The Agency will communicate the Total Package Price to you. All prices are subject to change until full payment is received and the booking is confirmed by the Supplier.

3.3 Professional Planning Fee

  • 3.3.1 Fee Structure: The Agency provides bespoke travel design, research, consultation, and concierge services separate from the physical Services provided by Suppliers. A non-refundable Professional Planning Fee (the amount of which shall be communicated to the Client prior to the start of the engagement) is charged directly by The Agency to the Client for this expertise and time.

  • 3.3.2 Separation from Supplier Price: The Professional Planning Fee is separate and distinct from the Supplier's price for the travel components (flights, accommodation, etc.). This fee is a charge for The Agency’s service and does not constitute a markup on the Supplier’s price. The Client's payment for the Services will remain the public price dictated by the Supplier.

  • 3.3.3 Payment and Commission: The Professional Planning Fee is paid directly to The Agency (NAMCOR LTD) and is non-commissionable. The Agency may also receive a separate commission from the Supplier on the Total Package Price (excluding The Agency’s Professional Planning Fee) once the booking is completed.

3.4 Cancellation and Amendments

  • Supplier Policy Governs: All requests for cancellation or amendments must be made to The Agency in writing. Cancellations and refunds are governed strictly by the Specific Supplier Terms. You may forfeit all or part of the Total Package Price as a cancellation charge, depending on the Supplier's policy and the proximity of the travel date.

  • Agency Administration Fee: Regardless of the Supplier's refund amount, The Agency reserves the right to charge an administration fee for processing any cancellation or amendment, the amount of which will be communicated upon inquiry. This fee is non-refundable.

CLAUSE 4. RESPONSIBILITY AND LIABILITY

4.1 Supplier Performance

The Agency accepts no liability for any acts, omissions, negligence, breach of contract, or failure to perform by any Supplier. This includes, but is not limited to:

  • Cancellation or delay of flights, cruises, or tours.

  • Overbooking or quality issues at accommodation.

  • Injury, loss, death, or damage arising from the use of Services.

The Client's sole recourse in the event of a deficiency in the Services rests with the relevant Supplier, subject to the Specific Supplier Terms.

  • 4.1.1 Bespoke Service Performance and Safety: The Client acknowledges that Bespoke Services (e.g., private marine charters, guided mountain excursions, or private aviation) often carry inherent risks. The Agency accepts no liability for any loss, damage, injury, or death arising from the operational performance, safety standards, or negligence related to any Bespoke Service. The Client is solely responsible for ensuring they are fit and competent for any Bespoke Service they participate in. The Client's sole recourse in such matters is limited to the relevant Separate Supplier, subject to their Specific Supplier Terms and insurance coverage.

4.2 Documentation and Compliance

The Client is solely responsible for ensuring that all travel documents (passports, visas, health certificates, and compliance with local laws and customs) are valid and correct for the entire journey. The Agency accepts no liability for denial of boarding or entry due to insufficient or incorrect documentation.

4.3 Force Majeure

The Agency accepts no liability for any loss or damage arising from any event of force majeure (unforeseeable circumstances that prevent someone from fulfilling a contract), including but not limited to: acts of nature, war, terrorism, civil unrest, political instability, disease outbreak, or acts of government. Any refund for bookings cancelled due to force majeure will be strictly limited to amounts recovered from the Suppliers.

CLAUSE 5. THE AZUREA REWARD CARD PROGRAM

5.1 Eligibility and Discretion

The AZUREA Reward Card is a discretionary reward, not an entitlement. Eligibility is determined solely by The Agency based on the volume and value of the Client's past bookings. The Agency reserves the right to grant, withhold, or revoke the AZUREA Reward Card at its sole discretion, without providing a reason.

5.2 Redemption and Evolving Partnerships

  • Redemption Partners: The AZUREA Reward Card is redeemable for specified goods, services, or experiences with third-party partners selected by The Agency.

  • Ongoing and Non-Finalised Status: You acknowledge that the list of redemption partners is ongoing and non-finalized. The Agency provides no guarantee that a specific partner, or a minimum number of partners, will be available at any given time. The list of current, active partners will be communicated to the eligible Client upon the Card’s issuance.

  • Partner Terms: All redemption is subject to the individual terms and conditions of the relevant third-party partner, including availability and expiration dates set by that partner.

5.3 Non-Transferability and Expiry

  • Non-Transferable: The AZUREA Reward Card is non-transferable and can only be used by the registered Client. It cannot be sold, exchanged for cash, or used for the purchase of primary travel services.

  • Expiry: The Card will have a specified validity period, after which it will automatically expire. Expired Cards will not be replaced or reactivated.

5.4 Program Modification

The Agency reserves the right to modify, suspend, or terminate the AZUREA Reward Card program, or change the value, redemption rules, or list of partners, at any time, with or without prior notice. The Agency shall not be held liable for any loss or inconvenience caused by such modification or termination.

CLAUSE 6. GOVERNING LAW AND JURISDICTION

These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

You and The Agency irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Ts & Cs.
